Receipt Stash terms of use

Overview

The following terms and conditions govern all use of the receipt-stash.com website and all content, services, mobile apps and any other products ("Products") available at or through the website or offered under the Receipt Stash brand. The Products are owned and operated by INDEV Limited (trading as Receipt Stash). The Receipt Stash Products are offered subject to your acceptance without modification of all of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, Receipt Stash’s Privacy Policy) and procedures that may be published from time to time on this website by Receipt Stash (collectively, the “Agreement”).

Please read this Agreement carefully before accessing or using any part of this website or any of the Receipt Stash Products. By accessing or using any part of the Receipt Stash Products, you agree to become bound by the terms and conditions of this agreement. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any of the Receipt Stash Products. If these terms and conditions are considered an offer by Receipt Stash, acceptance is expressly limited to these terms. The Receipt Stash Products are available only to individuals who are at least 16 years old.

This Agreement will continue in effect until either you or Receipt Stash terminates them in the manner described below.

Definitions

Account

Account means the User or Partner (as applicable) account registered in your name or the business on whose behalf you sign up and to which we provide the Receipt Stash Products.

Billing Period

Billing Period means the period covered by the Fees paid for your Plan.

Data

Data means any and all data or information that is uploaded to the Receipt Stash Products or otherwise provided to Receipt Stash.

Intellectual Property Rights

Intellectual Property Rights means any patent, trade mark, service mark, database right, copyright, moral right, right in a design, know-how and any other intellectual or industrial property rights, anywhere in the world whether or not registered.

Items

Items means any and all receipts, bills, invoices or other purchase cost related documents uploaded to the Receipt Stash Products or otherwise provided to Receipt Stash, together with any data or information extracted from such Items.

Partner

Partner means accountancy firms, bookkeepers and other professional and business services providers who have signed up to a Partner Plan that allows them to make the Receipt Stash Products available to their clients. References to a Partner in the context of a particular Partner User means the particular Partner who runs the Partner Account to which that Partner User’s Account is linked.

Partner Plan

Partner Plan means a Plan which allows Partners to make available access to the Receipt Stash Products to Partner Users, subject to the limitations and usage thresholds contained therein.

Partner User

Partner User means a client or other individual to whom a Partner makes available the Receipt Stash Products pursuant to the terms of their Partner Plan. Where the context permits, references to Users shall be read to include Partner Users.

Plan

Plans means the payment plan and level of access to the Receipt Stash Products for which you have subscribed your account to.

Supported File Types

Supported File Types means .pdf, .jpeg, .jpg, .png, .gif, or any other file types that may be supported by the Receipt Stash Products in the future.

User

User means any user who signs up or is added to an Account for the Receipt Stash Products directly and is without an associated Partner relationship.

Your Receipt Stash account and data

If you create an Account on Receipt Stash, you are responsible for maintaining backups of your data. You are fully responsible for all activities that occur under the Account and any other actions taken in connection with the Account. You must not enter details or data in a misleading or unlawful manner, including in a manner intended to trade on the name or reputation of others, and Receipt Stash may change or remove any detail or data that it considers inappropriate or unlawful, or otherwise likely to cause Receipt Stash liability. You must immediately notify Receipt Stash of any unauthorized uses of your Account or any other breaches of security. Receipt Stash will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions.

Provision of the Receipt Stash products

Subject to this Agreement, in particular your payment of the Fees, Receipt Stash shall provide the Receipt Stash Products to you in accordance with the terms of your current Plan. In order to make sure that you have the best experience using the Receipt Stash Products, Receipt Stash may sub‑contract or assign the provision of any and all of the Receipt Stash Products.

Changes to the Receipt Stash products

Receipt Stash reserves the right, at its sole discretion, to modify or replace any part of this Agreement. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to the Receipt Stash Products following the posting of any changes to this Agreement constitutes acceptance of those changes. Receipt Stash may also, in the future, offer new services and/or features of the Receipt Stash Products (including, the release of new tools and resources). Such new features and/or services shall be subject to the terms and conditions of this Agreement.

If Receipt Stash deems it necessary to discontinue the Receipt Stash Products it provides due to the highly unlikely event of our closure, you will receive at least 7 days’ notice before your Account is closed.

Payment and renewal

General terms

Optional paid Plans may be available for the Receipt Stash Products. By selecting a paid Plan you agree to pay Receipt Stash the monthly or annual Fees indicated for that Plan.

Automatic renewal

Unless you notify Receipt Stash before the end of the applicable Billing Period that you want to cancel a service, your Plan will automatically renew and you authorise us to collect the then-applicable annual or monthly Fees (as well as any taxes) using any credit card or other payment mechanism we have on record for you. Plans can be cancelled at any time by emailing support@receipt-stash.com and providing the appropriate authoritive details.

Fees variation

You agree that Receipt Stash may change the Fees for each particular Plan. In the event that the Fees for Plans are to be changed, Receipt Stash will give you advance notice of any such changes – we will do this by sending an email to the address registered on your Account.

Rules and conduct

You may not use the Receipt Stash Products for any purpose that is prohibited by this Agreement. The Receipt Stash Products are provided only for your internal use in connection with your lawful business activities. You are responsible for all of your activity in connection with the Receipt Stash Products.

You agree that you shall not:

• save as may be permitted under applicable law, copy, reproduce, modify, adapt, translate, prepare derivative works of, republish, upload, post, transmit, or distribute any Receipt Stash Products or any other Intellectual Property Rights in or to the Receipt Stash Products for any reason whatsoever;
• save as may be permitted under applicable law, reverse assemble, decompile, reverse engineer or in any way derive or attempt to derive from the Receipt Stash Products any source code or the structure, sequence or organisation of such code;
• use the Receipt Stash Products in any way that infringes another person’s Intellectual Property Rights;
• use the Receipt Stash Products to upload, post, email, or otherwise transmit worms, viruses, or any other computer file, code, or program designed to disrupt, interrupt, limit, or disable any of the functionality of the Receipt Stash Products, or any hardware, or telecommunications equipment;
• access (or try to access) and use any of the Receipt Stash Products through any interfaces not provided by Receipt Stash or by any automated means, including, but not limited to, scripts, robots, or web crawlers;
• use the Receipt Stash Products to upload, post, transmit, store, or otherwise make available content that contains software viruses or any other computer code, files, or programs that could interrupt, destroy or limit the functionality of the computer software or hardware or telecommunications equipment of Receipt Stash, its Users or Partners, service providers or is affiliates.
• use the Receipt Stash Products to upload post, transmit, store, or otherwise make available content that is pornographic or otherwise explicit in nature (Receipt Stash reserves the right to remove any and all such content at its sole discretion);
• use the Receipt Stash Products in any fashion which violates, or might reasonably be judged by Receipt Stash to violate, any local or foreign law or regulation; or
• (without limiting the rights of Partners to make available the Receipt Stash Products to their Partner Users under the terms of their Partner Plan) sublicense, assign or otherwise transfer the Receipt Stash Products, this Agreement or the rights under it, whether by operation of law or otherwise, otherwise than in accordance with this Agreement.

We will not be responsible, or liable, to any third party for the content or accuracy of any Data you upload to the Receipt Stash Products.

Submissions

The Receipt Stash Products allow Users to submit Items to Receipt Stash in a variety of fashions.

The Receipt Stash Products only allow for effective and accurate extraction of Data that is in the standard Latin alphabet and/or contains numbers in the European numeral system. You acknowledge that Receipt Stash cannot guarantee the accurate extraction of Data from submitted Items which is not in these formats.

Where you submit any Item to Receipt Stash using any electronic submission tools, that Item must be in a Supported File Type. You acknowledge that Receipt Stash cannot process any Items which are not submitted in a Supported File Type.

If you send in illegible Items they may not be processed correctly into your Account. You recognise that all Items may not be entered correctly into your Account, and that Receipt Stash does not guarantee proper tagging or data entry on submitted Items.

Receipt Stash does not guarantee the accuracy of automatically processed information.

If you submit Items with notes or other information on the back, those back sides may not be scanned or uploaded into your Account.

Partners and partner users

Subject to any restrictions in their Partner Plan, Partners are able to use the Receipt Stash Products to make available certain user-focused Receipt Stash Products directly to Partner Users.

If you are a Partner, you acknowledge and agree that:

• you are responsible for determining who is a Partner User and what access levels and permissions that Partner User has to use the Receipt Stash Products;
• you are responsible for all Partner Users' use of the Receipt Stash Products; and
• before being able to access the Receipt Stash Products, each Partner User will be required to sign up to this Agreement as a User, if a Partner User fails or declines to sign up to this Agreement, it shall not be permitted to use the Receipt Stash Products.

The services (other than Receipt Stash Products made available pursuant to this Agreement) Partners provide to Partner Users are not vetted, endorsed or approved by Receipt Stash. Partner Users acknowledge and agree that Receipt Stash is not responsible for the quality of such services they receive from Partners. Partner Users are solely responsible for vetting and reviewing the services Partners provide to them.

Copyright infringement and DMCA policy

As Receipt Stash asks others to respect its intellectual property rights, it respects the intellectual property rights of others. If you believe that material located on or linked to by any of the Receipt Stash Products violates your copyright, you are encouraged to notify Receipt Stash. Receipt Stash will respond to all such notices, including as required or appropriate by removing the infringing material or disabling all links to the infringing material. Receipt Stash will terminate a Users or Accounts access to and use of the Receipt Stash Products if, under appropriate circumstances, the User or Account is determined to be a repeat infringer of the copyrights or other intellectual property rights of Receipt Stash or others. In the case of such termination, Receipt Stash will have no obligation to provide a refund of any amounts previously paid to Receipt Stash.

Intellectual property

This Agreement does not transfer from Receipt Stash to you any Receipt Stash or third party intellectual property, and all right, title and interest in and to such property will remain (as between the parties) solely with Receipt Stash. All graphics and logos used in connection with Receipt Stash, or any of the Receipt Stash Products are trademarks or registered trademarks of Receipt Stash or Receipt Stash’s licensors. Other trademarks, service marks, graphics and logos used in connection with the Receipt Stash Products may be the trademarks of other third parties. Your use of the Receipt Stash Products grants you no right or license to reproduce or otherwise use any Receipt Stash or third-party trademarks.

Termination

Receipt Stash may terminate your access to all or any part of the Receipt Stash Products at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate this Agreement or your Receipt Stash Account (if you have one), you must notify the intention in writing, accompanied with appropriate proof of authority as may be requested by Receipt Stash. Notwithstanding the foregoing, if you have a paid Plan Account, such Account can only be terminated by Receipt Stash if you materially breach this Agreement and fail to cure such breach within thirty (30) days from Receipt Stash’s notice to you thereof; provided that, Receipt Stash can terminate the Account immediately. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Content in the services

Receipt Stash does not and cannot control what information is submitted or uploaded to its Products. We do not expect our Partners or Users to upload any objectionable, offensive or indecent content. You acknowledge and agree that you are solely responsible for any information that is submitted to Receipt Stash and are responsible for any consequences of such actions.

You also understand that when using the Receipt Stash Products, you may come across material that you find objectionable, offensive or indecent and that you are using the Receipt Stash Products at your own risk.

Fair use

Receipt Stash considers all expressions of "unlimited use" subject to its fair use policy. Fair use means within practicable reason at the final and not unreasonable discretion of Receipt Stash. Typically usage aimed at the original intention of the service is considered fair use. Other non-intended uses of our services may be more likely to fall under the unfair-use category. Additionally, "unlimited" and "fair use" does not give rights or permissions to use seemingly unlimited resources with the intention of exploitation of the seemingly unlimited resources.

Disclaimer of warranties

All Receipt Stash Products are provided "as is". Receipt Stash and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither Receipt Stash nor its suppliers and licensors, makes any warranty that any of the Receipt Stash Products will be error free or that access thereto will be continuous or uninterrupted. You understand that you download from, or otherwise obtain content or services through, the Receipt Stash Products at your own discretion and risk.

You acknowledge that we are not your advisor nor your accountant. The Receipt Stash Products do not constitute financial advice. You remain wholly responsible for your compliance with all filings and reporting requirements in relation to taxation and all other similar requirements or duties imposed on you under applicable law.

We assume no responsibility for the content of websites linked on our site. Such links should not be interpreted as endorsement by us of those linked websites. We will not be liable for any loss or damage that may arise from your use of them.

Limitation of liability

In no event will Receipt Stash, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for:

• any special, incidental or consequential damages;
• the cost of procurement for substitute products or services;
• for interruption of use or loss or corruption of data; or
• for any amounts that exceed the Fees paid by you to Receipt Stash under this agreement during the twelve (12) month period prior to the cause of action.

Receipt Stash shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.

General representation and warranty

You represent and warrant that:

• your use of the Receipt Stash Products will be in strict accordance with the Receipt Stash Privacy Policy, with this Agreement and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from New Zealand or the country in which you reside); and
• your use of the Receipt Stash Products will not infringe or misappropriate the intellectual property rights of any third party.

Dispute resolution

In the event that any dispute arises between the parties, you and Receipt Stash each agree to enter into good faith discussions to resolve that dispute within a period of 14 days from one party's notification to the other that such dispute has arisen (the "Dispute Resolution Period"). In the event that no resolution to the dispute can be mutually agreed by the parties (each acting reasonably) during the Dispute Resolution Period, both you and Receipt Stash will have the right, but not the obligation, to terminate this Agreement with immediate effect on written notice to the other, provided always that such notice must be served within a further 7-day period starting on the day immediately following the final day of the Dispute Resolution Period.

Nothing in this section shall prejudice either party's other rights to terminate outlined elsewhere in this Agreement – including the right to terminate this Agreement to prevent their automatic renewal on expiry of a Billing Period. In addition, nothing in this section will at any time while a dispute is being discussed by you and Receipt Stash restrict either party’s freedom to obtain emergency injunctive relief, commence legal proceedings to preserve any legal right or remedy or to protect confidentiality or any intellectual property or trade secret right or to prevent or limit breaches of law governing its business.

Indemnification

You agree to indemnify and hold harmless Receipt Stash, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the Receipt Stash Products, including but not limited to your violation of this Agreement.
